Terms of Service

Welcome to XpandOutreach (“we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our services, including but not limited to IT consulting, system integration, software development, and related services (“Services”). By engaging with our Services, you agree to comply with these Terms. 

If you do not agree with any of these Terms, please refrain from using our Services. 

  1. Definitions

– Client: Refers to the individual or entity engaging XpandOutreach for Services. 

– Services: Includes but is not limited to IT consulting, software development, system integrations, project management, and related IT support services provided by XpandOutreach. 

– Agreement: Refers to the binding contract between XpandOutreach and the Client, which incorporates these Terms, any related Service Agreements, and Statements of Work (SOW). 

– Recipient: Any individual or entity receiving communications (emails, notifications) facilitated by XpandOutreach on behalf of the Client. 

  1. Scope of Services

The specific Services provided by XpandOutreach will be defined in a Statement of Work (SOW) or similar contractual document. Adjustments to the scope, timelines, or fees must be agreed upon in writing by both parties and may be subject to additional charges. 

  1. Client Responsibilities

To enable XpandOutreach to effectively deliver Services, the Client agrees to: 

– Provide timely access to necessary systems, resources, and personnel. 

– Ensure clear and prompt communication, including approvals and feedback required for project milestones. 

– Maintain proper data backups and system redundancies. XpandOutreach is not liable for data loss or system failures caused by inadequate client precautions. 

  1. Fees and Payment Terms

– Fees for Services will be detailed in the SOW or invoice. 

– Payment terms are payment terms will be described in your/your company contract, and payment must be made in the agreed currency. 

– Late payments may incur interest rate, subject to applicable laws. 

  1. Communication and Consent

By engaging with XpandOutreach, you acknowledge and consent to receiving communications from us and, where applicable, from our Clients. This includes but is not limited to: 

– Informational and promotional emails, newsletters, and updates related to our Services. 

– Messages and content sent on behalf of our Clients, including campaigns or outreach as part of the Services provided. 

Unsubscribe Policy: 

Recipients may unsubscribe from email communications at any time by following the “unsubscribe” link provided in our emails or by contacting us directly. We will ensure compliance with unsubscribe requests promptly, in accordance with applicable regulations. 

Compliance with International Laws: 

XpandOutreach strictly adheres to international standards for email and electronic communications, including: 

– General Data Protection Regulation (GDPR): Ensuring lawful basis for processing data, explicit consent for communications, and robust data subject rights. 

– Canada’s Anti-Spam Legislation (CASL): Requiring clear consent and providing mechanisms for opt-out. 

– CAN-SPAM Act (United States): Requiring transparency in sender identity and opt-out capabilities. 

By engaging our Services, Clients are responsible for ensuring that the email lists and data provided to us for campaigns comply with all applicable data protection and anti-spam laws. 

  1. Confidentiality

– Both parties agree to keep all proprietary and confidential information strictly private and not disclose it to third parties without prior written consent. 

– XpandOutreach ensures robust data security measures to protect sensitive client data and intellectual property.

  1. Intellectual Property

– XpandOutreach retains ownership of all pre-existing intellectual property, tools, frameworks, and methodologies used to deliver the Services. 

– Any deliverables created specifically for the Client as part of the Services will become the Client’s property upon full payment, unless otherwise agreed in writing. 

  1. Data Protection and Privacy

XpandOutreach is committed to protecting the privacy and security of data processed during the provision of Services. We comply with all applicable international data protection regulations, including GDPR, CASL, and relevant local laws. 

Clients must ensure that any data provided to XpandOutreach for processing has been collected and shared in compliance with applicable laws. 

  1. Warranties and Disclaimers

XpandOutreach warrants that: 

– Services will be delivered with reasonable skill, care, and professionalism. 

– All work will conform to agreed specifications and timelines unless changes are documented and approved. 

Disclaimer: Except as expressly stated, XpandOutreach disclaims all other warranties, express or implied, including but not limited to merchantability or fitness for a particular purpose. 

  1. Limitation of Liability

To the fullest extent permitted by law: 

– XpandOutreach is not liable for indirect, incidental, or consequential damages, including loss of data, profits, or business interruption. 

– The total liability of XpandOutreach is limited to the fees paid by the Client for the specific Service in question. 

  1. Termination of Agreement

– Either party may terminate this Agreement with notice period 60 days days’ written notice. 

– Upon termination, the Client must pay for all completed work and reimbursable expenses incurred up to the termination date. 

  1. Force Majeure

XpandOutreach is not liable for delays or failures to perform due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, cyberattacks, or labor disputes. 

  1. Governing Law and Dispute Resolution

Any disputes will be resolved through mediation, arbitration, or in the courts of the United States. 

  1. Amendments to Terms

XpandOutreach reserves the right to update or modify these Terms at any time. Clients will be notified of significant changes via email or on our website. Continued use of our Services constitutes acceptance of the revised Terms.
